I think you have no excuse for not upgrading to at least a Pentium III, if you do you won't have a much problems.
Have you a beta version of dx8.1 or the official release from ms site just check that first, also there's a program floating about where you can uninstall DirectX but i advise that doing this is very dodgy. I havn't upgraded to dx8.1 yet still using dx8.0a as i find no need to upgrade.
Have you got updated drivers for your graphics card.
Also the games "Minimum" spec is:
450 MHz Intel or AMD compatible processor
96 MB Ram
16 MB Direct 3D Compatible Graphics Card
That's just the minimum spec :) don't think your rig is cut out for it tbh, an upgrade of parts will most likely solve everything, runs sweet on my spec.

can you tell us what ATI rage u have !? is it a pro 128 is it 16 meg or 32 meg !? is it OPEN GL ? read the manual that came with it !?
reasons being is that i have a RAGE PRO 128 theatre vivo 32 meg card and amd/k6/2 500mhz processor and 256 meg of ram and the game runs perfect on my system ! =)
you could look for a new ATI driver here >>>>
http://rageunderground.com/
These are modified ATI drivers so make sure u have original drivers to go back to if something goes wrong ! =)
If u get stuck and screen goes black restart in safemode and uninstall the drivers and start again ! =)
let us know if this helps and also let us know what ATI card it is ! =)
It should be ok if its 16 meg and supports open GL =)
ive had it running on a celeron 366mhz with a voodoo 2 3000 16 meg card and 128 meg of ram and runs smooth on that too =)
although i had to get the latest drivers forthat too lol =)
hope this helps ! =)

But if the original warning says the display adapter is not DirectX compatible, then he may not have any option but to get a more recent display adapter (graphics card), that is DX compatible.
Try updating the driver though, as suggested above, as DX has been around a long time.....

K, First the ATI 3d rage Pro is way to outdated to run max PAYNE. I use a RADEON 7200 and even it can be laggy sometimes. The probkem is that the video card you have is at best a 2 - 4 MB videocard. You need at least a GeFORCE 2 MX in order to get anywhere close to any kind of performance. Also a PII 333 is pretty outdated and you are going to run into problems in the future with runnin modern games. You'll find that Anything less than a PIII or A Celreon II (Being 600MHz and above) will be relatively useless. The Celron II CPU has A Pentium 3 Core but only a 128k cache. A Full scale PIII has a 256k cache. Plus about 75 more instruction sets. InEnglish that just means it's faster. If yopu pick up a GeFORCE 2 MX 32 or 64 MB PCI or AGP Graphics card. If you have AGP which is unliklely in a PII) and that should solve the Max Payne Problem.

Oh, one more thing. The cost to upgrade to a PIII is substantial. Right now it would cost you between $300 and $400 bucks. The reason being that you have to buy a new motherboard and cpu. THen you're also gonna have to buy new ram. ASUS or ABIT motherboards are the most stable. MCI is cheaper but less reliable. Check out EBAY! that's likely going to be your cheapest bet. Ram is through the roof right now, due to some Disaster excuse. Flooding is some country that likely doesn't even make ram, but hey it's an excuse for retailers to to jack up the price.
